In this article, we&#8217;ll explore a case study involving a new client with a multifaceted corporate structure to illustrate how associated company rules apply from 1 April 2023.<\/p>\n\n\n\n<p><strong>The Corporate Structure<\/strong><\/p>\n\n\n\n<p>Our client, Alpha Holdings Ltd, is a holding company overseeing a group primarily composed of trading subsidiaries. Control is defined by:<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li><strong>Share Capital Ownership<\/strong>: Holding more than 50% of the company&#8217;s share capital.<\/li>\n\n\n\n<li><strong>Voting Power<\/strong>: Possessing more than 50% of the voting rights.<\/li>\n\n\n\n<li><strong>Entitlement to Income or Assets<\/strong>: Right to receive more than 50% of the company&#8217;s income or assets upon distribution or winding up.<\/li>\n<\/ol>\n\n\n\n<p><strong>Application to the Case Study<\/strong><\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li><strong>Alpha Holdings Ltd and Its Subsidiaries<\/strong>: Alpha Holdings Ltd controls Beta Trading Ltd, Gamma Enterprises Ltd, and Delta Properties Ltd by owning 100% of their shares. Therefore, these companies are unquestionably associated companies in the UK.<\/li>\n\n\n\n<li><strong>Shareholdings in Epsilon Ltd and Zeta Ltd<\/strong>:\n<ul class=\"wp-block-list\">\n<li><strong>Epsilon Ltd<\/strong>: Benjamin and Michael collectively own 60% (Benjamin 40%, Michael 20%). Together, they control Epsilon Ltd. Since they also have significant shareholdings in Alpha Holdings Ltd (Benjamin 30%, Michael 25%), they form a <strong>minimum controlling combination<\/strong>. Without detailed information on these factors, we cannot conclusively determine Zeta Ltd&#8217;s status.<\/p>\n\n\n\n<p><strong>Passive Holding Companies &amp; Extra Information for Associated Companies in the UK<\/strong><\/p>\n\n\n\n<p>An exemption exists for passive holding companies under Section 18F CTA 2010.
